Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and DealFusion Tech Labs Ltd ("DealFusion", "we", "us", or "our"), a company registered in England and Wales (Company No. 16864496), with its registered office at 10 Sunningdale Avenue, Darlington, County Durham, DL1 4DA.

By downloading, installing, accessing, or using any of our mobile applications or services, including but not limited to DriveSwift (Car, Motorcycle, ADI, LGV/PCV, Instructor), Soothly, LM Dating, and Postd (collectively, the "Apps" or "Services"), you agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific Apps. If you do not agree to these Terms, you must not use our Services.

2. Eligibility

• You must be at least 13 years of age to use our educational apps (DriveSwift, Soothly). Certain features may require you to be 17 or older as indicated in app store age ratings.
• You must be at least 18 years of age to use LM Dating and Postd.
• By using our Services, you represent and warrant that you meet the applicable age requirement and have the legal capacity to enter into these Terms.
• If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration and Security

Some of our Apps require you to create an account. When you do so, you agree to:

• Provide accurate, current, and complete information during registration.
• Keep your login credentials secure and confidential. You are responsible for all activity that occurs under your account.
• Notify us immediately at support@dealfusion.co.uk if you suspect any unauthorised access to your account.
• Not create multiple accounts, impersonate another person, or use false information.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Description of Services

Our Apps provide the following services:

• DriveSwift (Car, Motorcycle, ADI, LGV/PCV): UK driving theory test preparation with official DVSA-licensed question banks, hazard perception training, mock exams, and progress tracking.
• DriveSwift Instructor: lesson management, calendar integration, student progress tracking, and AI-powered lesson summaries for UK driving instructors.
• Soothly: guided meditation, sleep stories, breathing exercises, and wellness tracking for improved sleep and mental health.
• LM Dating: curated dating and matchmaking with verified profiles, intent-based matching, and human-assisted introductions.
• Postd: virtual UK business address, AI-powered mail management, mail forwarding/archiving/shredding, and UK company formation services.

We reserve the right to modify, update, or discontinue any App or feature at any time, with reasonable notice where practicable.

5. In-App Purchases and Subscriptions

Our Apps may offer in-app purchases and auto-renewing subscriptions.

• Payment processing: all payments are processed through the Apple App Store (iOS) or Google Play Store (Android). We do not directly collect or store your payment card details.
• Subscription billing: subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will auto-renew unless you cancel at least 24 hours before the end of the current billing period.
• Free trials: if a free trial is offered, it will automatically convert to a paid subscription at the end of the trial period unless cancelled. Any unused portion of a free trial will be forfeited when you purchase a subscription.
• Price changes: we may change subscription prices from time to time. Price changes will take effect at the start of the next billing period following the date of the price change. Your continued use constitutes acceptance of the new price.
• Cancellation: you may cancel your subscription at any time through your Apple ID or Google Play account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access to premium features until the end of the period you have already paid for.
• Refunds: refund requests are handled by Apple or Google in accordance with their respective refund policies. We do not provide partial refunds for unused portions of a billing period except where required by consumer law.
• One-time purchases: certain Apps (e.g. DriveSwift theory test apps) may offer one-time lifetime access purchases. These are non-refundable except as required by applicable law or app store policies.

6. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services for any unlawful, fraudulent, or harmful purpose.
• Violate any applicable local, national, or international law or regulation.
• Infringe upon the rights of others, including intellectual property rights and privacy rights.
• Transmit any content that is offensive, threatening, defamatory, obscene, or otherwise objectionable.
• Attempt to gain unauthorised access to our systems, other users' accounts, or any computer networks connected to our Services.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of our Apps.
• Use automated tools, bots, scrapers, or similar means to access, extract data from, or interact with our Services.
• Copy, redistribute, sell, sublicence, or commercially exploit any part of our Services or content without our prior written consent.
• Interfere with or disrupt the operation of our Services or the servers or networks connected to them.
• Harass, bully, stalk, intimidate, or threaten other users (applicable to LM Dating and any social features).

7. DVSA Licensed Content

Our DriveSwift applications contain official DVSA-licensed question banks and hazard perception content. This content is used under proper licensing agreements with the Driver and Vehicle Standards Agency. You may use this content solely within our Apps for personal test preparation purposes. Unauthorised reproduction, distribution, modification, or commercial use of DVSA-licensed content is strictly prohibited and may result in legal action.

8. User Content

Some of our Apps allow you to submit, upload, or share content ("User Content"), such as profile information, photos, messages, or reviews. By submitting User Content, you:

• Retain ownership of your User Content.
• Grant us a non-exclusive, worldwide, royalty-free, transferable licence to use, display, reproduce, and distribute your User Content solely for the purpose of operating and improving our Services.
• Represent and warrant that you own or have the necessary rights to submit such content and that it does not violate any third party's rights.
• Agree that we may remove or moderate any User Content that violates these Terms or that we reasonably consider inappropriate.

9. Intellectual Property

All intellectual property rights in our Apps, including but not limited to software, designs, logos, trademarks, text, graphics, and other content, are owned by or licensed to DealFusion Tech Labs Ltd and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use our Apps for personal, non-commercial purposes (or for legitimate business purposes in the case of Postd and DriveSwift Instructor) in accordance with these Terms. This licence does not include the right to modify, distribute, sell, or create derivative works based on our Apps or content.

10. Disclaimers

• Educational content: while we strive for accuracy in our DriveSwift apps, we do not guarantee that using our Apps will result in passing any official test or examination. Your success depends on your own study, preparation, and performance on the day.
• Health and wellness: Soothly provides general wellness content and is not a substitute for professional medical, psychological, or psychiatric advice, diagnosis, or treatment. Always consult a qualified healthcare professional for health concerns.
• Dating: LM Dating does not guarantee matches, connections, or relationship outcomes. We do not conduct criminal background checks on users. Exercise your own judgement and take appropriate safety precautions when meeting people through the App.
• Business services: Postd is not a law firm and does not provide legal, tax, or accounting advice. Information provided through Postd is for general guidance only. Company formation timelines depend on Companies House processing and are outside our direct control.
• AI features: where our Apps use artificial intelligence (e.g. mail classification in Postd, lesson summaries in DriveSwift Instructor), these features are provided for convenience and may not always be accurate. You are responsible for verifying important information.
• "As is" basis: our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

11. Limitation of Liability

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law.

Subject to the above:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business, or anticipated savings.
• We shall not be liable for any loss or damage arising from circumstances beyond our reasonable control, including but not limited to failures of telecommunications networks, power supply, internet service providers, or acts of God.
• To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with these Terms or the Services in any 12-month period shall be limited to the greater of: (a) the total fees you have paid to us during that period, or (b) £100.

12. Indemnification

You agree to indemnify, defend, and hold harmless DealFusion Tech Labs Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

13. Account Deletion and Termination

You may stop using our Services and delete your account at any time:

• Use the account deletion feature within the App settings (where available).
• Email us at support@dealfusion.co.uk with the subject "Account Deletion Request".
• Visit the dedicated deletion page: LM Dating | Postd

Important: deleting the App from your device does not cancel your subscription. You must cancel subscriptions through your Apple ID or Google Play account settings to avoid further charges.

We may suspend or terminate your access to our Services at any time if you breach these Terms, if we are required to do so by law, or with at least 30 days' notice for any other reason. Upon termination, your right to use the Services ceases immediately, and we will handle your data in accordance with our Privacy Policy.

14. Third-Party Services

Our Apps may integrate with or contain links to third-party services (e.g. Apple App Store, Google Play Store, payment processors, social media platforms). These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, privacy practices, or terms of any third-party service. Your interactions with third-party services are at your own risk.

15. App-Specific Terms

Certain Apps have additional terms that supplement these general Terms:

• Postd Terms of Service — additional terms for virtual address, mail handling, and company formation services.
• LM Dating Terms of Service — additional terms for the dating and matchmaking service.

In the event of a conflict between these general Terms and any app-specific terms, the app-specific terms shall prevail with respect to that particular App.

16. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will provide at least 30 days' notice via email, in-app notification, or by posting a notice in the App. The effective date at the top of this page will be updated accordingly. Your continued use of our Services after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using our Services. The latest version will always be available at dealfusion.co.uk/terms.

17. Governing Law and Disputes

These Terms, and any dispute or claim arising out of or in connection with them, are governed by and construed in accordance with the laws of England and Wales.

If a dispute arises, we encourage you to contact us first at support@dealfusion.co.uk so we can attempt to resolve it informally. If we cannot resolve the matter, the courts of England and Wales will have exclusive jurisdiction, except where applicable consumer protection laws grant you the right to bring proceedings in your local courts.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy and any app-specific terms, constitute the entire agreement between you and DealFusion Tech Labs Ltd with respect to the use of our Services. They supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
