Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your use of Postd, a virtual business address, mail handling, and UK company formation service operated by DealFusion Tech Labs Ltd ("DealFusion", "we", "us", or "our"). By creating an account, using the Postd mobile app, or using any of our services, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Service Description

Postd provides a combination of:

• Virtual UK business address services (registered office, correspondence, trading address).
• Mail receiving, opening, scanning, classification, forwarding, archiving, and secure destruction.
• AI‑assisted mail classification and urgency detection.
• UK company formation services, including preparation and filing of incorporation documents.
• Account management and notification tools via the Postd mobile application.

Postd is not a law firm and does not provide legal, tax, or financial advice. Any information provided through the Service is for general guidance only and should not be relied on as professional advice.

3. Eligibility, KYC, and Account Responsibilities

To use Postd you must:

• Be at least 18 years old.
• Have the legal capacity to enter into binding contracts.
• Pass our Know Your Customer (KYC) and Anti‑Money Laundering (AML) checks.
• Use the Service only for legitimate business purposes.

You are responsible for maintaining accurate account information, keeping your login credentials secure, and notifying us immediately if you suspect unauthorised access. You remain responsible for all activity that occurs under your account.

4. Acceptable Use and Prohibited Activities

You agree not to use Postd for any unlawful or prohibited purpose. In particular, you must not:

• Use the address to conduct illegal activity or to mislead regulators, banks, or the public.
• Engage in mail fraud, money laundering, terrorist financing, or sanctions evasion.
• Use the address for high‑risk or prohibited industries where we have informed you we cannot act.
• Interfere with or disrupt the Service, attempt to bypass security controls, or reverse engineer the app.
• Resell or sub‑licence the address or suite number to third parties without our written consent.

We reserve the right to suspend or terminate accounts, refuse mail, or report suspicious activity to relevant authorities if we reasonably believe these Terms or applicable laws are being breached.

5. Virtual Address and Mail Handling

• The Postd business address is licensed to you; you do not acquire any property rights or tenancy interest in the premises.
• We allocate a unique suite or unit number to you. This identifier is non‑transferable without our consent.
• We will make reasonable efforts to receive and process your mail promptly, typically within one business day of receipt.
• We are not responsible for delays, loss, or damage caused by Royal Mail or other carriers before mail reaches our premises or after it has been forwarded according to your instructions.
• Where you request shredding or secure destruction, this is irreversible and shredded items cannot be recovered.
• We may refuse to accept parcels or items that are illegal, dangerous, excessively large, or outside the agreed scope of the Service.

6. Company Formation Services

• When you use Postd to form a UK company, we act as a formation agent submitting information you provide to Companies House.
• You are solely responsible for the accuracy and completeness of all information submitted (company name, directors, shareholders, addresses, and other required details).
• Companies House fees are set by the UK government and are non‑refundable once a filing has been submitted.
• Formation timelines depend on Companies House processing and are outside our direct control.
• We do not provide legal, tax, or accounting advice, and you should consult independent professionals where necessary.

7. Subscriptions and Billing

Postd is offered on an auto‑renewing subscription basis through the Apple App Store and Google Play Store.

• You will be billed in advance for each billing period (monthly or annually).
• Subscriptions are managed through your app store account; you must cancel through Apple or Google to stop renewal.
• We do not provide partial refunds for unused portions of a billing period, except where required by consumer law.
• Plan limits (such as mail items per month or user counts) may be enforced automatically; exceeding these may incur additional charges or require an upgrade.

8. AI Classification and Decision‑Making

Postd uses AI models to classify incoming mail and estimate urgency. This is provided for your convenience and does not replace your own review of important documents. We do not guarantee that AI classification or urgency labels will always be accurate, and you remain responsible for checking and acting on critical mail (for example, items from HMRC or Companies House).

9. Intellectual Property

The Postd app, branding, website content, and underlying technology are owned or licensed by DealFusion Tech Labs Ltd and are protected by copyright and other intellectual property laws. You are granted a limited, non‑exclusive, non‑transferable licence to use the app for your own business purposes, subject to these Terms.

10. Limitation of Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Subject to the above, we will not be liable for:

• Any indirect, consequential, or special losses or damages.
• Loss of profits, revenue, data, business, or anticipated savings arising from use of (or inability to use) the Service.
• Loss or damage to mail caused by postal operators, couriers, or events outside our reasonable control.

To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the Service in any 12‑month period shall be limited to the total fees you have paid to us for the Service during that period.

11. Suspension and Termination

You may stop using Postd at any time and cancel your subscription via the relevant app store. Because billing is managed by Apple and Google, deletion of the app alone does not cancel your subscription.

We may suspend or terminate your access to the Service:

• With at least 30 days' notice for any reason.
• Immediately, if you materially breach these Terms or we are required to do so by law or regulation.
• If you fail to pass or maintain required KYC / AML checks.

After termination, we will handle your data and remaining mail in line with our Privacy Policy and retention obligations. Typically, mail will be handled for 30 days and then returned to sender or destroyed.

12. Governing Law and Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them, are governed by and construed in accordance with the laws of England and Wales.

If a dispute arises, we encourage you to contact us first at support@dealfusion.co.uk so we can attempt to resolve it informally. If we cannot resolve the matter, the courts of England and Wales will have exclusive jurisdiction to settle any such dispute.

13. Changes to these Terms

We may update these Terms from time to time. Where changes are material, we will provide at least 30 days' notice via email or in‑app notification before the new Terms take effect.

The latest version will always be available at dealfusion.co.uk/postd/terms. If you continue to use the Service after the effective date of any changes, you are deemed to have accepted the updated Terms.
